you can easily smell fraud from their S-1 documents filed with the SEC. The S-1 can not even present a solid "story" to defraud investors.
I asked my friends at Big 4 firms in China offices. They mentioned that most of those reverse mergers failed their "smell" test and they declined IPO audit for them several years ago.
That explained why so many Chinese reverse IPOs were audited by a few never-heard-of junky CPA firms in States.
